1Identity of the seller

2Purpose and scope

These terms of sale govern sales of products and services offered by VitalX to consumer and professional customers, in France and within the European Union. They prevail over any other document, save for specific conditions accepted in writing by VitalX.

3Products and services

VitalX sells:

• Hardware packs comprising a VitalX chassis, a carry case, the connectors and, depending on the chosen configuration, one or more iPads
• A software licence allowing use of the VitalX application (iOS / iPadOS)
• Optional add-ons, in particular Ultra Mode, and accessories

The essential features of each product are detailed on its spec sheet.

4Quotes and orders

Hardware packs are offered on quotation. The quote sets out the configuration, price and lead times; it is valid for 30 days unless otherwise stated. The order becomes firm once the quote is accepted and payment validated, or once the purchase order is received for public-sector customers.

Items available directly in the shop (software add-ons, accessories, patches) are ordered online and the order becomes firm once payment is validated. The customer receives a confirmation e-mail summarising the products, prices and estimated lead times.

VitalX reserves the right to refuse an order in the event of suspected fraud, a previous dispute or incomplete information.

5Prices and payment

Prices are shown in euros. VAT not applicable under article 293B of the French General Tax Code (micro-enterprise status). Payment is made via Stripe (bank card, Apple Pay, etc.) or by bank transfer against invoice for orders placed on quotation.

Transactions are encrypted; VitalX never has access to full bank card details.

6Delivery

Indicative lead time: 15 to 30 working days from order confirmation, unless otherwise stated. Delivery is made to the address given by the customer, and a tracking number is provided where available.

The risk of loss or damage passes to the customer at the moment the customer, or a third party designated by them, takes physical possession of the goods.

7Conformity and warranties

• iPads included — Apple manufacturer's warranty; hardware service for iPads is handled by Apple. For refurbished models, the refurbisher's warranty applies.
• VitalX chassis, case and accessories — statutory warranty of conformity (2 years) and warranty against hidden defects, under the French Consumer Code and Civil Code. Return to workshop after diagnosis, repair or replacement subject to availability. Additional commercial warranties are detailed on the Warranty page.
• Software and licence — supplied for educational use. Updates included. E-mail support: vitalxscope@gmail.com.

Excluded are damages resulting from misuse, impacts, liquids, unauthorised modifications or use contrary to the documentation.

8Right of withdrawal (consumers)

Under articles L.221-18 et seq. of the French Consumer Code, consumer customers have 14 days from receipt of the product to exercise their right of withdrawal, without having to give reasons or bear any cost other than return shipping.

• Return — products must be returned complete, in perfect condition and, for iPads, unopened and not activated, in their sealed original packaging.
• Refund — on receipt and inspection of the products, VitalX refunds using the original payment method, within 14 days maximum.
• Exceptions — the right of withdrawal does not apply to digital content whose performance has begun with the consumer's prior express agreement and waiver of that right (activated software licence), nor to unsealed goods that cannot be returned for hygiene or safety reasons.

9After-sales service and returns (RMA)

Before any return, contact support to obtain a case number (RMA) and shipping instructions. Unauthorised returns may be refused. Pack the equipment carefully and keep proof of dispatch.

10Software add-ons

The advanced modules (Ultra Mode: GUARDIAN, CTG, VENT) are sold as a one-off purchase, with no subscription or renewal. Activation uses your monitor's code, provided with your order.

Should any features be offered through in-app purchase on the App Store, billing, management and cancellation would be handled by Apple from the customer's Apple ID.

11Liability

VitalX is not liable for indirect damages, loss of data, loss of business or intangible harm.

12Intellectual property

Trademarks, logos, software, texts, images and content remain the exclusive property of their owners. Any unauthorised reproduction, representation, modification or use is prohibited.

13Personal data

The data processing carried out by VitalX is described in the privacy policy. No real patient data is stored by the application; access to sessions is protected by a code.

14Force majeure

VitalX cannot be held liable for any failure due to an event of force majeure within the meaning of French law (general strike, natural disaster, large-scale network outage, etc.).

15Applicable law and disputes

These terms are governed by French law. In the event of a dispute, consumer customers may use a consumer mediator free of charge or bring the matter before the competent courts. Failing an amicable agreement, the courts of VitalX's registered office have jurisdiction.

16Evidence and archiving

Computerised records kept in VitalX's systems are deemed to be evidence of communications, orders and payments between the parties. Purchase orders and invoices are archived on a reliable and durable medium.

17Changes to these terms

VitalX reserves the right to amend these terms at any time. The terms applicable are those in force on the date of the order.
